Adoption of the 231 Model and Establishment of the Supervisory Board (ODV)

In line with principles of legality, transparency, and accountability, our organization has adopted an Organizational, Management and Control Model pursuant to Legislative Decree 231/2001 (the 231 Model). Legislative Decree 231/2001 introduced the concept of corporate administrative liability for certain offenses committed in the interest or to the advantage of the company by individuals in senior positions or by subordinates. The adoption of the 231 Model allows the organization to prevent such offenses and serves as a guarantee for all internal and external stakeholders.
To ensure its effective implementation, we have established an independent Supervisory Board (Organismo di Vigilanza – ODV), vested with full powers of oversight and verification.
The ODV is responsible for:

• Monitoring compliance with the 231 Model;
• Assessing the effectiveness and adequacy of the adopted measures;
• Proposing updates in light of regulatory or organizational changes;
• Promoting a culture of legality within the company.

We have also activated a confidential whistleblowing channel, allowing employees, collaborators, and third parties to report unlawful conduct or violations of the 231 Model while fully protecting confidentiality.
